1. INTRODUCTION AND ACCEPTANCE

1.1 These Terms and Conditions (“Terms”) govern your relationship with Kazien Global Ventures under the platform Cassa, registration number 2025/440275/07), a company registered in the Republic of South Africa (“Kazien Global Ventures”, “Cassa”, “we”, “us”, or “our”).

1.2 BY REGISTERING AS A SERVICE PROVIDER ON THE CASSA PLATFORM, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS IN FULL. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE PLATFORM.

1.3 These Terms must be read together with our Privacy Policy and Cookie Policy, which form part of this agreement.

1.4 We may change these Terms at any time by posting updated Terms on our Platform. Your continued use after such changes means you accept the new Terms.

2. DEFINITIONS

2.1 “Platform” means Cassa’s mobile application and website through which homeowners and service providers connect, which includes “kaizen-gv.com”.

2.2 “Service Provider” or “you” means any independent contractor, business, or tradesperson registered on the Platform to offer services.

2.3 “User” or “Homeowner” means any person who requests services through the Platform.

2.4 “Services” means any work, repairs, maintenance, or professional services you offer through the Platform.

2.5 “Booking” means a request made by a User through the Platform for your Services.

 3. NATURE OF THE RELATIONSHIP

3.1 CASSA IS ONLY A PLATFORM AND INTERMEDIARY

You understand and agree that:

a) Cassa operates only as a technology platform that connects homeowners with service providers and facilitates the payment between parties.

b) Cassa is not a party to any contract between you and homeowners.

c) Cassa does not provide, perform, or deliver any Services.

d) Cassa is not your employer, agent, partner, or joint venture partner.

e) You are an independent contractor responsible for your own business operations.

f) All contracts for Services are directly between you and the homeowner.

3.2 NO EMPLOYMENT RELATIONSHIP

a) Nothing in these Terms creates an employment relationship between you and Cassa.

b) You are solely responsible for paying your own taxes, VAT, UIF, and all other statutory obligations.

c) You are not entitled to any employee benefits from Cassa.

4. REGISTRATION AND VERIFICATION REQUIREMENTS

4.1 MANDATORY VERIFICATION

To register as a Service Provider, you must:

a) Be at least 18 years old and legally able to contract in South Africa.

b) Provide accurate identification documents, including your South African ID or passport.

c) Submit to verification with the Department of Home Affairs to confirm your identity.

d) Provide proof of business registration.

e) Provide tax clearance and VAT registration.

f) Provide professional qualifications and certifications relevant to your Services.

g) Provide proof of Public Liability Insurance as detailed in Clause 5 below.

h) Undergo criminal background checks.

4.2 ONGOING VERIFICATION

a) You must update your information immediately if anything changes.

b) Cassa reserves the right to re-verify your credentials at any time.

c) Failure to maintain current verification will result in immediate suspension from the Platform.

4.3 ACCURACY OF INFORMATION

a) You warrant that all information you provide is true, accurate, and complete.

b) You will be liable for any losses, damages, or claims arising from false or misleading information.

5. INSURANCE REQUIREMENTS

5.1 MANDATORY INSURANCE COVERAGE

You must maintain at all times:

a) Public Liability Insurance with minimum coverage of R2,000,000 (Two Million Rand) per incident.

b) Professional Indemnity Insurance (if applicable to your trade) with minimum coverage of R1,000,000 (One Million Rand).

c) Comprehensive Vehicle Insurance (if you use a vehicle for Services).

d) Workers’ Compensation Insurance (if you employ staff).

5.2 PROOF OF INSURANCE

a) You must provide Cassa with valid certificates of insurance before activation on the Platform.

b) You must renew and provide updated certificates before expiry.

c) Your account will be immediately suspended if insurance lapses.

5.3 INSURANCE CLAIMS

a) You are solely responsible for all insurance premiums and excesses.

b) All claims arising from your Services must be lodged with your insurance provider, not Cassa.

c) You must notify Cassa immediately of any incident that may result in a claim.

6. SERVICE PROVIDER OBLIGATIONS

6.1 PROFESSIONAL STANDARDS

You must:

a) Perform all Services in a professional, competent, and workmanlike manner.

b) Comply with all applicable laws, regulations, and industry standards.

c) Hold all necessary licenses, permits, and certifications required for your Services.

d) Maintain appropriate professional conduct at all times.

e) Arrive punctually for all Bookings.

f) Complete Services within agreed timeframes.

6.2 HEALTH AND SAFETY

You must:

a) Comply with the Occupational Health and Safety Act 85 of 1993.

b) Use appropriate safety equipment and protective gear.

c) Ensure all tools and equipment are safe and well-maintained.

d) Not endanger any person or property during the provision of Services.

e) Clean up all work areas after completing Services.

6.3 COMMUNICATION

You must:

a) Respond promptly to booking requests and User messages via the Cassa Mobile Application.

b) Communicate clearly about pricing, timelines, and service scope.

c) Notify Users immediately of any delays or issues.

d) Maintain professional and respectful communication.

7. FINANCIAL TERMS

7.1 PRICING AND QUOTES

a) You set your own prices for Services.

b) All quotes must be clear, accurate, and include VAT and any other Taxes or Levies.

c) You may not change prices after a User accepts your quote without their written consent.

d) You must honor all quoted prices displayed on the Platform.

7.2 PLATFORM FEES

a) Cassa charges a service fee on all completed Bookings and invoiceable items. The percentage will be in the mobile application and can vary by service type and category.

b) This fee is deducted from payments before they are transferred to you.

c) Fees are non-refundable.

d) We may change fee structures with 30 days’ notice.

e) The Cassa fee and charges will be clearly marked on the invoices.

7.3 PAYMENT PROCESSING

a) All payments are processed through the Cassa Platform.

b) You may not request or accept direct payment from Users outside the Platform.

c) On successful User transaction for services you have rendered, Cassa will commence payment to the Supplier after 48 hours after the User payment has reflected in the Cassa Bank Account.

d) You are responsible for declaring all your income for tax purposes.

e) You are responsible for taking before and after pictures and the user acceptance before payments can be processed.

7.4 REFUNDS AND DISPUTES

a) If a User disputes payment, Cassa may withhold funds pending investigation.

b) Cassa’s decision on payment disputes is final.

c) You must cooperate fully with any dispute investigation.

8. CANCELLATIONS

8.1 USER CANCELLATIONS

a) Users may cancel bookings according to the Platform’s cancellation policy.

b) You may be entitled to partial payment for cancellations as per Platform policy.

8.2 SERVICE PROVIDER CANCELLATIONS

a) Excessive cancellations may result in suspension or termination from the Platform.

b) You must provide reasonable notice and explanation for cancellations.

c) Emergency cancellations must be reported immediately.

d) Consistent and consecutive cancellations will count against your rating on the platform.

9. LIMITATIONS OF LIABILITY AND INDEMNITY

9.1 CASSA’S LIMITATIONS OF LIABILITY

YOU ACKNOWLEDGE AND AGREE THAT:

a) CASSA IS NOT LIABLE FOR ANY LOSS, DAMAGE, INJURY, OR DEATH ARISING FROM YOUR PROVISION OF SERVICES.

b) CASSA IS NOT LIABLE FOR ANY DISPUTES BETWEEN YOU AND USERS.

c) CASSA IS NOT LIABLE FOR ANY LOSS OF INCOME, DATA, OR BUSINESS OPPORTUNITIES.

d) CASSA IS NOT LIABLE FOR PLATFORM DOWNTIME, TECHNICAL FAILURES, OR INTERRUPTIONS.

e) CASSA IS NOT LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

f) CASSA’S TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED R1,000 (ONE THOUSAND RAND).

9.2 YOUR INDEMNIFICATION OF CASSA

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS CASSA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM AND AGAINST:

a) Any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your provision of Services.

b) Any injury, death, or property damage caused by you or your employees.

c) Any breach of these Terms by you.

d) Any negligent or unlawful acts by you.

e) Any claims that you are an employee of Cassa.

f) Any failure by you to maintain adequate insurance.

g) Any tax, VAT, or regulatory penalties relating to your business.

h) Failure to make contact with your business or not meeting the legal obligations will enable Cassa to forward your details to a regulator organisation or the South African Police Services.

9.3 NO WARRANTY

THE PLATFORM IS PROVIDED “AS IS” WITHOUT ANY WARRANTIES. CASSA DOES NOT GUARANTEE:

a) Continuous access to the Platform.

b) Any minimum number of bookings or income.

c) That Users will complete bookings.

d) The accuracy of User information.

10. DATA PROTECTION AND LOSS OF DATA

10.1 DATA HANDLING

a) You must comply with the Protection of Personal Information Act 4 of 2013 (“POPIA”).

b) You may only use User data for providing Services through the Platform.

c) You must keep all User information confidential.

d) You may not use User data, which includes pictures, videos,and user locations, for marketing without consent from Cassa and the User.

10.2 DATA SECURITY

a) You must take reasonable steps to protect User data in your possession.

b) You must notify Cassa immediately of any data breach.

c) You are liable for any losses arising from your misuse or loss of User data.

10.3 CASSA NOT LIABLE FOR DATA LOSS

YOU ACKNOWLEDGE THAT:

a) Cassa is not liable for any loss, corruption, or deletion of data.

b) You must maintain your own backups of important information.

c) Technical failures may result in loss of booking data or communications.

11. INTELLECTUAL PROPERTY

11.1 CASSA’S PROPERTY

a) All Cassa branding, logos, trademarks, and Platform technology remain Cassa’s property.

b) You may use Cassa branding only as permitted for marketing your services on the Platform.

c) You may not modify or create derivative works of Cassa’s intellectual property.

11.2 YOUR CONTENT

a) You grant Cassa a license to use photos, descriptions, and other content you upload.

b) You warrant you have rights to all content you provide.

c) No infringement on any copyrighted material or plagiarism.

12. PROHIBITED CONDUCT

YOU MAY NOT:

a) Request or accept payment outside the Platform.

b) Encourage Users to transact outside the Platform.

c) Provide false or misleading information.

d) Discriminate against Users on any unlawful basis.

e) Harass, threaten, or abuse Users.

f) Subcontract Services without User and Cassa consent.

g) Access the Platform using automated means.

h) Reverse engineer or copy the Platform.

i) Create multiple accounts.

j) Share your account credentials.

13. SUSPENSION AND TERMINATION

13.1 CASSA’S RIGHT TO SUSPEND OR TERMINATE

Cassa may immediately suspend or terminate your account if:

a) You breach these Terms.

b) Your insurance lapses.

c) Your verification status changes or cannot be confirmed.

d) You receive multiple negative reviews or complaints.

e) You engage in fraudulent activity.

f) Required by law or regulatory authority.

h) Should you fail any of Cassa’s regular validation checks.

13.2 YOUR RIGHT TO TERMINATE

a) You may terminate by giving 30 days’ written notice.

b) You remain liable for all pending bookings, current obligations, and callback claims during the warranty period.

13.3 EFFECTS OF TERMINATION

a) Your access to the Platform will be revoked.

b) Outstanding payments will be processed subject to dispute resolution.

c) Your obligations under Clauses 9, 10, 11, and 14 survive termination.

14. LEGAL FEES AND COSTS

14.1 YOU AGREE THAT:

a) If Cassa takes legal action to enforce these Terms, you will pay Cassa’s legal costs on an attorney-and-own-client scale.

b) You will pay all collection costs, tracing fees, and expenses incurred in recovering amounts owed.

c) You are responsible for your own legal fees in defending any claims.

15. COMPLAINTS AND DISPUTE RESOLUTION

15.1 COMPLAINTS PROCEDURE

a) You must first attempt to resolve disputes directly with Users.

b) If unresolved, submit a written complaint to complaints@kaizen-gv.com.

c) Include your account details, booking reference, and full explanation.

d) Cassa will investigate and respond within 14 business days.

15.2 MEDIATION

a) If the complaint remains unresolved, parties agree to mediation before litigation.

b) Mediation costs will be shared equally or 100% by the party that has been found in error or in the wrong.

15.3 JURISDICTION

a) These Terms are governed by South African law.

b) You consent to the jurisdiction of the South African courts.

c) Any legal proceedings shall be in the Magistrate’s Court or High Court, as appropriate.

16. GENERAL PROVISIONS

16.1 ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Cassa.

16.2 SEVERABILITY

If any provision is found invalid, the remaining provisions remain in full force.

16.3 NO WAIVER

Cassa’s failure to enforce any right does not constitute a waiver of that right.

16.4 ASSIGNMENT

a) You may not assign these Terms without Cassa’s written consent.

b) Cassa may assign these Terms to any third party.

16.5 NOTICES

a) All notices must be in writing to the addresses below.

b) Email notices are effective when sent.

16.6 ELECTRONIC SIGNATURES

Your electronic acceptance of these Terms constitutes a binding agreement.

18. ACKNOWLEDGMENT

BY CLICKING “I ACCEPT” OR USING THE PLATFORM, YOU CONFIRM THAT:

a) You have read and understood these Terms.

b) You have adequate insurance coverage.

c) You will be verified with Home Affairs and other relevant authorities.

d) You are an independent contractor, not an employee.

e) You accept all risks associated with providing Services.

f) You indemnify Cassa from all claims and liabilities.

g) You understand Cassa is only a platform and marketplace.
